Sponsorship Service Level Agreement (SLA)
1. Introduction
This Sponsorship Service Level Agreement (“Agreement”) is entered into by and between Softorage (“Provider”), owned and operated by Swati Joshi, and the undersigned sponsor (“Sponsor”). This Agreement delineates the terms and conditions governing the sponsorship services rendered by Softorage.
2. Sponsorship Tiers and Benefits
Softorage proffers the ensuing sponsorship tiers, each extending over a 30-day period:
- Regular: Inclusion on the “Wall of Fame.”
- Bronze: Inclusion on the “Wall of Fame” with a Bronze highlight.
- Silver: Inclusion on the “Wall of Fame” and the landing page with a Silver highlight.
- Gold: Inclusion on the “Wall of Fame,” landing page, and all software pages with a Gold highlight.
- Platinum: Inclusion on the “Wall of Fame,” landing page, all software pages, and blog posts (upon availability) with a Platinum highlight and luxury tone.
- Black: Inclusion on the “Wall of Fame,” landing page, all software pages, and blog posts (upon availability) with a Distinguished Black highlight and luxury tone.
Annual Sponsorship Discount: Sponsors procuring a 12-pack (360 days) are entitled to a 16.6% discount, thereby receiving 365 days of sponsorship for the equivalent cost of 10 months (300 days).
3. Sponsor Information Requirements
The Sponsor is obligated to furnish the following particulars for display, contingent upon the selected tier:
- Logo/Image
- Description (succinct brand overview)
- Website or Preferred Link
- Text for the Preferred Link
The Sponsor warrants that all provided information is precise, current, and does not infringe upon any third-party rights.
4. Payment Terms
4.1 Payment Procedure: All sponsorship remittances are to be made directly to Sanmay Joshi, the creator and maintainer of Softorage, via the designated payment methods. Payments must be effectuated prior to the activation of sponsorship.
4.2 Non-Refundability: All transactions are irrevocable and non-refundable.
5. Modification of Sponsorship Tier
5.1 Upgrades: The Sponsor may elect to elevate their tier by remitting the differential between the prorated amount of the current tier for the residual duration and the prorated amount of the desired tier for the identical period.
5.2 Downgrades: Downgrading of sponsorship tiers is impermissible.
6. Termination of Sponsorship
6.1 Premature Termination by Sponsor: The Sponsor may solicit the early cessation of their sponsorship display; however, no refunds or credits will be accorded for the unused portion of the sponsorship term.
6.2 Termination by Provider: Softorage reserves the right to rescind a sponsorship display if it contravenes platform guidelines or terms of service, without entitlement to a refund.
7. Obligations of the Provider
Softorage covenants to:
7.1 Display the Sponsor’s information as delineated in the selected sponsorship tier.
7.2 Endeavor to maintain uninterrupted display of the Sponsor’s information for the sponsorship term, barring unforeseen technical anomalies or force majeure events.
7.3 Promptly apprise the Sponsor of any substantive alterations to the sponsorship terms or conditions.
8. Limitation of Liability
Softorage shall not be accountable for any indirect, incidental, or consequential damages emanating from the sponsorship services. The aggregate liability of Softorage shall be confined to the amount remunerated by the Sponsor for the sponsorship.
9. Confidentiality
Softorage commits to utilizing any supplementary information provided during the sponsorship process, such as contact details, exclusively for administrative purposes, and shall not disclose such information publicly without explicit consent from the Sponsor.
10. Amendments and Updates
The Provider retains the prerogative to amend this Agreement as necessitated. Sponsors will be notified of significant modifications that may impinge upon their active sponsorship.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws prevailing in the jurisdiction of the Provider.
12. Entire Agreement
This Agreement constitutes the comprehensive accord between the Provider and the Sponsor concerning sponsorship services and supersedes all prior agreements or understandings, whether written or oral.
Acknowledgment
By effectuating payment and submitting sponsorship details, the Sponsor acknowledges and consents to the terms encapsulated in this Agreement.
